Retainer

Maintaining a continuing close relationship between the Firm and its Clients

The Retainer Department renders legal services required in the ordinary course of the business of a general retainer client of the Firm and is composed of all lawyers of the Firm who render services under a General Retainer and/or a Corporate Secretarial Retainer Agreement.

ACCRALAW encourages all its clients to become general retainer clients and thereby maintain a continuing relationship with the Firm.  To formalize this relationship, ACCRALAW enters into a General Retainer Agreement with a client.  This written agreement embodies the Firm’s commitment to serve as the clients’ external legal counsel and to make available to the client the services of all of the Firm’s lawyers through its various practice departments.  It stipulates and fixed monthly retainer fee.

Throughout the years, the Firm has served as retained counsel of various companies and, on several occasions, has even detailed its lawyers to certain retainer clients to meet their requirements to undertake specific projects or to temporarily perform the functions of their in-house legal counsel.

Through its Corporate and Special Projects Department, ACCRALAW also makes available to its clients a Corporate Secretarial Agreement, whereby the Firm designates one or more of its lawyers to act as the Corporate Secretary and Assistant Corporate Secretary of the client.  This agreement likewise stipulates a fixed monthly retainer fee.

Retainer Services:

  • Consultation, advice and rendering of opinions
  • Preparation of simple contracts and legal documents
  • Other legal services required in the ordinary course of the client’s business

The Corporate Secretarial Agreement covers all the services required of a Corporate Secretary including:

  • Recording of all meetings of the Board of Directors and Stockholder;
  • Custody and maintenance of the record books required by law, and;
  • Preparation of the reports required by law of Corporate Secretary or the Corporation’s By-Laws
